Can You Sell an Off-Plan Condo in Pattaya Before Completion?

Yes, you can often sell an off-plan condo in Pattaya before completion—but you are usually transferring your rights and obligations under a purchase contract, not selling a finished property with a title deed. Whether the deal can proceed depends on your contract, the developer's process, the incoming buyer's eligibility and the terms of the transfer. Confirm those points in writing before accepting a deposit.

What are you actually selling?

Before ownership is registered, the developer generally remains the party that will transfer title. You hold a contractual right to buy a specific unit under an agreed payment schedule. A pre-completion “resale” normally means a new buyer takes your place under that agreement, or signs a replacement agreement with the developer. It is different from reselling a completed condo already registered in your name.

A private agreement between you and the new buyer may not, by itself, make the developer recognise the replacement buyer or release you from future instalments. The signed documents should state who owes the remaining balance and exactly when your responsibility ends.

Start with the contract and the developer

Read the original sale and purchase agreement and reservation paperwork for any assignment or buyer-change clause. Developers may require prior written approval, restrict transfers until a payment milestone, charge an administration fee or ask the new buyer to sign a fresh contract. Your particular agreement and the developer's written terms control the process.

Ask the developer to confirm:

  • whether a buyer change is allowed now and what approval is required;
  • which instalments have been received and which remain due;
  • the change fee and who will pay it;
  • whether the new buyer keeps the same unit, price, incentives, payment schedule and completion terms; and
  • whether the paperwork fully releases you from future obligations.

If the contract prohibits assignment or the developer declines the substitution, do not promise a buyer an automatic takeover. Have an independent Thai property lawyer review any proposed alternative before funds change hands.

Does the foreign quota transfer with the booking?

Do not assume it does. Foreign freehold ownership is subject to a 49% limit measured by the condominium's aggregate unit area, according to Thai government guidance. For an unfinished project, ask the developer to confirm in writing that the unit is allocated for the incoming buyer's intended ownership category. Final registration must still meet the applicable Land Department requirements.

A foreign buyer should also plan the funding trail. Thai government guidance on foreign remittances explains the bank evidence used for eligible foreign ownership. The buyer's lawyer and receiving bank should confirm how the replacement buyer's payments, including any reimbursement to you, must be documented. Do not assume that your old remittance records cover the new buyer.

How do you calculate the resale price?

Separate the original contract price, the amount you have already paid and the unpaid balance. Suppose you agreed to buy for ฿3,000,000, have paid ฿900,000 and still owe ฿2,100,000. If the developer now asks ฿3,500,000 for a comparable unit and a replacement buyer accepts an effective price of ฿3,300,000 for yours, the buyer saves ฿200,000 against that developer offer. One possible arrangement is ฿1,200,000 to you and ฿2,100,000 to the developer. Your gross gain is ฿300,000 before any fees, taxes, legal costs or commission. All payment routes and amounts must match the developer-approved documents.

In practice, off-plan resales usually need to be priced below comparable units still offered directly by the developer. A buyer can otherwise book with the developer, often with a simpler transaction and the developer's current incentives. As a private seller, you need to make your unit more attractive: usually through a lower total effective price, or a clear advantage such as a better floor, view, layout or a sold-out foreign-quota allocation. Compare like-for-like units and account for any developer promotions, transfer fees, construction risk and time to handover. If your unit costs the same or more without a meaningful advantage, expect buyers to choose the developer's stock.

What costs and risks should you check?

  • Developer fees: request the actual buyer-change fee schedule.
  • Agency and legal costs: agree who pays each charge and when it becomes due.
  • Tax: a pre-completion contract transfer may be treated differently from a registered property resale. Get advice based on your contract and tax status.
  • Next instalment: make sure the buyer can pay it and that the substitution becomes effective in time.
  • Project changes: disclose construction updates, revised dates and contract amendments.

Do not rely on a side agreement alone to cancel your obligations to the developer. Ask an independent Thai lawyer to check the original contract, replacement documents and payment flow before either party moves substantial funds.

A practical sequence for selling before completion

  1. Gather the file: signed contract, receipts, payment schedule, unit specification and construction updates.
  2. Obtain the developer's written terms: approval, fees, quota allocation, buyer requirements and release of the original buyer.
  3. Agree a transparent price: show the buyer the amount payable to you and the balance owed to the developer.
  4. Review the documents: use an independent Thai lawyer and, where relevant, a tax adviser.
  5. Complete the substitution: sign developer-approved papers, settle payments under clear conditions and obtain written confirmation that the records were updated.

What if the condo is already completed?

If title is registered in your name, the sale is normally a conventional property resale, with ownership transferred through the Land Department. Completion of the building alone does not establish which route applies: check whether title has actually transferred.

The answer in one sentence

You can often exit an off-plan Pattaya condo before completion if the developer accepts the buyer change, the incoming buyer qualifies for the intended ownership and the signed documents clearly allocate future payments and release you. Pearl Property can help assess current demand and comparable prices; have a Thai lawyer confirm the transaction structure before committing.

The agency as a whole advises in English, German, Thai, French and Chinese, and covers condos, houses, villas, land and new developments across Jomtien, Pratumnak, Wongamat, Naklua, East Pattaya, Huai Yai, Na Jomtien and Bang Saray — whether you are looking at an off-plan unit in a new project or a resale condo.
